Terms of Service (TOS)

Steadyio.com ("STEADYIO", "us", "we", or "our") has developed this Terms of Service ("TOS") document to govern Steadyio's online services ("Services") which consist of Domain Registrations/Transfers/Management, Web Hosting, Web Design, Marketing, Data Backups and any related add-on products.
This TOS includes our Acceptable Use Policy (AUP), Privacy Policy and Service Level Agreement (SLA). It is very important that you read this TOS in its entirety. By registering as a Client ("Customer"), you consent to be bound by this TOS. It is your responsibility to ensure that your usage of our Services is in compliance with this TOS.
We reserve the right to amend this TOS at any time. If we make a change that materially impacts your ability to use our services, you may terminate the services without penalty. The most recent version of the TOS can be found on our website at: https://www.steadyio.com/terms




1.1. Currency
All prices denoted on the .COM variation of our website are in terms of USD. If your debit or credit card's primary currency is not USD, your card issuer will apply a conversion based on their exchange rates which we have no control over.

1.2. Delivery of Service
Once your order is placed, our system will automatically provision you with an account which you can use to access our Client Area.
All orders are subjected to an automatic screening process by our system and/or our payment processors(s) to prevent fraud. It is your responsibility to provide us with accurate billing, contact and payment information so that your order will be screened successfully. Providing false contact information of any kind may result in the termination of your account or the rejection of your order.
In the event our automatic screening process marks your order as fraudulent, we may reach out to you to request for additional documents such as your government issued identification and possibly a scan of the credit card used for the purchase. In the event these documents are not provided on request, the order may be considered fraudulent in nature and be denied. These documents will only be reviewed by authorized personnel, however we may retain them for up to 14 months to safeguard against chargebacks and potential frauds. After this 14 months period, we will securely dispose of your documents in order to prevent loss, theft, misuse, or unauthorised access.
Your order is only processed after we receive full payment through any of our supported payment methods. After submitting full payment, it can take a few minutes for our system to process the order.
All orders are delivered electronically via email. If you have any questions about your order, please open a support ticket with us.

1.3. Discontinuation
We reserve the right to discontinue any of our Services at our sole discretion. If a particular service is to be discontinued, we will provide advance notice of at least 30 days to the Customer.

1.4. Pricing Adjustment
We reserve the right to adjust the prices of any of our Services at our sole discretion. If there is to be a price adjustment, we will provide advance notice of at least 30 days to the Customer. Should the renewal date of the affected Services fall within the 30 days period, the Customer is allowed to renew the Services at the prevailing rates for one more billing cycle.

1.5. Website Transfer
We offer complementary website transfer with the purchase of any of our Services. If you are moving to us from another hosting provider, we can assist with the transfer of your website's data from your previous hosting provider to our servers.
For Customers purchasing our Web Hosting Package, we can assist you in transferring up to 10 cPanel accounts free of charge per order and 10 cPanel accounts on each subsequent month of service. For every 3 cPanel accounts in excess of the aforementioned numbers, a $1.00 charge will apply. For numbers slightly exceeding the aforementioned numbers, we may at our sole discretion waive the additional charges.
Our staffs will make every effort to help you to transfer your website's data to us, however this is done on a courtesy basis and we cannot make any guarantee about the success of the website transfer and the amount of time involved.
To ensure fairness for all Customers, website transfer requests are processed in the order that we receive them. This process can potentially take up to 48/72 hours depending on transfer queue size, but we will usually complete them much sooner. If a transfer request needs to be fulfilled before a certain date/time, please reach out to us in advance so it can be scheduled for you.
The process behind a website transfer is dependent on many factors which are often beyond our control. For example, your previous hosting provider's server may be inaccessible or experiencing technical issues (contributing to high server load, etc). Your previous hosting provider may also have disabled the Backup function, or may be running a different control panel other than cPanel. Any of the aforementioned factors can contribute significantly to the amount of time required to transfer your website's data, or whether we could even assist you to transfer your website's data to begin with.
Due to possible differences between your previous provider's hosting environment and ours, it is possible that your website may not function properly after the transfer. It is your responsibility to check for possible issues, as well as the integrity of your website's data and inform us immediately if there is any issue, so that we can investigate and address accordingly. You are encouraged to maintain your previous hosting provider's service for at least 30 days after your website has been transferred to us, in order to allow you buffer time to look through your transferred website's data thoroughly and raise any possible issue to us for investigation.

2.1. Content
All Services provided by Steadyio may only be used for lawful purposes. The Customer agrees to indemnify and hold harmless Steadyio from any claims resulting from the use of our Services.
Please refer to our Acceptable Use Policy (AUP) for the policies governing the type of content that can or cannot be hosted on our Services.
If you are uncertain whether the content or usage of your website is allowed under our AUP, please contact us for clarification.

2.2. Account Security
The security of your cPanel, WHM, FTP, email accounts and billing systems are your full responsibility. We recommend your password to be at least 8 characters and contain a combination of at least an upper-case alphabet, a lower-case alphabet, a number and a symbol.
All scripts must be kept up to date (this includes extensions, plugins and themes) or otherwise be secured against unauthorized intrusion or hacking. In the event we are made aware of an account that has been compromised or hacked, we may immediately suspend the cPanel account pending a full investigation. While we do assist in patching of compromised websites under our Best Effort Support, we reserve the right to charge a fee at an hourly rate of $50/hour or refuse assistance at our sole discretion.

3.1. Backups - Data Storage
Encryption: Industry-leading AES-256 encryption is used to encrypt any data that is backed up on our remote backup servers.
Location: We maintain remote backup servers in several locations within the United States. This means regardless of the hosting location which you selected for your Services, through the backup process, it is possible that your data will be stored in an encrypted server within the United States. We reserve the right to change the location of the remote backup servers at our sole discretion. If you are a resident of the European Union, your acceptance of this TOS constitutes your explicit permission for us to store and process your data abroad.

3.2. Backups - Customer's Responsibilities
You agree to take full responsibility for data hosted on your account and to maintain regular backup of all data that you host on our servers.
While we perform routine backup of your data (via JetBackup) on our Web Hosting, and Web Design services and provide JetBackup plugins in cPanel for convenient access to the backed up data, these backups are not meant to replace your own backups. The backups we carry out are solely meant for administrative purposes in the event of a disaster recovery.
There is no backup system that is insusceptible to failures. Although we are using some of the best measures in the industry such as implementation of Hardware RAID-10 on all of our servers and having JetBackup (30 Restore Points) in place, we cannot accept any responsibility should backups be unavailable for any reason including but not limited to software issue, data corruption and hardware failure.
Offline Backup services are processed, unless the Offline Backup add-on is selected during checkout.

4.1. Grounds for Suspension and Termination
Any violation of either this TOS or the other rules, regulations or policies noted on our website may serve as cause for Steadyio to suspend or terminate your account.
We will at all times notify you first so you can remedy the issue, however depending on the severity of the situation we may have to suspend your account first.
A grace period of 30 day will be given to work on the issue. If no follow up is provided during the 30 days grace period, the offending account will be terminated from our server and a full backup of the offending account will be offered to you. This is done to ensure compliance with the Terms of Services of not just our company but also the partners that we work with.
4.2. Customer's Responsibilities
You are responsible for ensuring that materials disseminated or posted using our Services, including materials that have been posted by third parties, comply with this TOS, and relevant laws. We do not censor, edit, review, or take responsibility for any information Customers or End Users may create, therefore, we cannot accept any responsibility from Customers, users of our Services through third parties, or third parties, that results from inaccurate, unsuitable, offensive, or illegal content or transactions.
Use of our Services requires a certain level of knowledge in the use of Internet languages, protocols, and software. This level of knowledge varies depending on the anticipated use of the Services. The Customer agrees that he or she has the knowledge and skills necessary to properly use the Services. It is not our responsibility to provide such knowledge or skills beyond our commitment to support your use of our Services as set forth in the TOS.

5.1. Billing
We accept payment through Credit/Debit Card and PayPal.
If you provide us with a credit card to pay the fees, we will attempt to charge your card no sooner than seven days prior to the open invoice's due-date. It is your obligation to ensure that your credit card may be charged.
If you have setup a PayPal subscription, PayPal will automatically transfer the due fees to us based on the billing schedule set out in the subscription. It is your obligation to ensure that your PayPal account is sufficiently funded.

5.2. Unpaid Invoices
It is your responsibility to ensure that any open invoice has been paid for. If you suspect a billing related problem such as, but not limited to, payment having been submitted but not being reflected in our system or any temporary hold being placed by your card issuer or PayPal, it is your responsibility to notify us.
No Late fees with Steadyio!
If an invoice remains unpaid for 7 days past its due-date, the related Services will be automatically suspended.
If an invoice remains unpaid for 30 days past its due-date, the related Services will be automatically terminated. Reinstation of service will incur a one-time administrative fee of $25.00. We may waive this fee at our sole discretion.

5.3. Promotions
50% One time Discounts are given all the time& applies only for first time customer. May use it for the yearly billing term if selected. After the term then normal pricing will continue.

5.4. Refund Policy
If you are unhappy with any aspect of our service, please contact our Billing Department which will attempt to rectify the situation. If the issue cannot be fixed, you are entitled to a refund within the first 30 days of service. No refund will be provided past the 30 days period. Violations of our Terms of Service will void the Refund Policy.

5.5. Cancellation Procedures
Cancellation requests must be submitted through our Client Area. To do this, navigate to Services > My Services and select the service that you want to cancel. Click on the "Request Cancellation" link under the Actions category. You must complete and submit the form. No other form of cancellation will be accepted.
Choosing an immediate cancellation means your service will be terminated with 24 hours of submitting the form. Please further note that it is your responsibility to cancel any PayPal subscription that you may have setup.

6.1. Affiliates
We do not offer any discounts or promotions regarding affiliates.

7.1. Disputes
You agree that any dispute between you and Steadyio arising out of your use of the Service on in any way based upon your subscription to and/or use of the Service which cannot be resolved between you and Steadyio will be submitted by the aggrieved party for binding arbitration under the auspices of Texas law.
In the event of any dispute, we will appreciate you working with us to resolve it. We are a company that emphasizes a lot on customer service and we will always try our best to accommodate your requests so long as they are reasonable. However, if a threat is made to us, we reserve the right to cease communication or refuse service.

Steadyio.com ("STEADYIO", "us", "we", or "our") has developed this privacy statement to validate our commitment to confidentiality to all Customers who use Steadyio's online services ("Services") which consist of Domain Registrations/Transfers/Management, Web Hosting, Web Design, Marketing, Data Backups and any related add-on products.
We respect your privacy and is committed to protecting the Personal Data we collect. The purpose of this Privacy Policy is to inform you of how we protect your privacy when accessing or using Steadyio's Services.
This Privacy Policy applies to all Steadyios Services and describes the ways that we collect and use your personal information and the choices you have regarding access, collection, maintenance, transmission and use of your personal information. Terms not defined in this AUP have the meaning given to them in your agreement with us in our Terms of Service (TOS).
By using Steadyio's Services, including Steadyio's website, or otherwise providing your Personal Data to Steadyio via any other means, you or the entity you represent ("you" or "your") accept and consent to the rights, obligations and practices described in this Privacy Policy.
We reserve the right to amend or modify this Privacy Policy at any time and in response to changes in applicable data protection and privacy legislation. We will notify you of these changes by sending an email to your contact email address registered on file and posting a complimentary notice in our Client Area. If we make a change that materially impacts your ability to use the Services, you may terminate the affected Services without penalty. 1. Who does this Privacy Policy apply to?
This Privacy Policy applies to all Customers of, and Visitors to, any Steadyio Services. In the case of Customers, the Account Holder shall be responsible for (a) informing their End Users, if any, of the existence of this Privacy Policy, as well as any amendments, updates or modifications made to this Privacy Policy and (b) agreeing to this Privacy Policy, as amended, updated or modified from time to time, on behalf of his, her or its End Users.

2. What Personal Data do we collect?
We consider Personal Data to be any information that can be used to directly or indirectly identify you, including without limitation, Personal Data that is accessed, collected, maintained, transmitted and/or used by Steadyio in the normal course of our business, and is subject to the provisions of this Privacy Policy and applicable law.

3. How do we collect Personal Data?
Steadyio requests and gathers information from our Customers in a few ways. These include online data entry forms when ordering any of our Services, communication with our staffs, as well as other instances where our Customers can volunteer their own private information.
The information collected can include but is not limited to the following:
a. Your identity - This includes your First and Last Name, Company Name (if applicable), Physical Address(es), Email Address(es), IP Address(es), Telephone Number(s), Credit Card Information and Other Billing Information.
b. Your interaction with us - This includes emails you send to us, exchanges you make with us through any of our official social media platforms, and exchanges you make with us through our support ticket system.
c. Identifiable trackers - This includes cookies and other similar means. See our Cookies Policy for detailed information.
d. Non-identifiable trackers - This includes log files and other similar means. Due to their nature, they are not linked to personally identifiable information.

4. Why do we collect Personal Data?
For Delivery Of Service:
We may use your Personal Data for a number of purposes which includes processing your orders, service or support requests, managing and administering your account, delivering any Services or information requested by you, responding to complaints or account enquiries, administering debt recoveries, verifying your identity when required (for example you may have lost your account information or password, and we may need to ask you for other identifiable information in order to protect your data from unauthorised access).
We may also use your Personal Data to conduct fraud check against third party databases such as FraudRecord and MaxMind.

For Financial Information:
We may ask Customers to enter credit card or account information in order to process orders for Services placed with us. Financial information provided through our website is transferred over a secure connection to paypal.com, The most secure and reputable payment processors available. All card numbers are encrypted on disk with AES-256 and decryption keys are stored on separate machines. None of Paypal's internal servers and daemons are able to obtain plaintext card numbers; instead, they can just request that cards be sent to a service provider on a static whitelist.
Paypal's infrastructure for storing, decrypting, and transmitting card numbers runs on separate hosting infrastructure and doesn't share any credentials with Paypale's primary services (API, website, etc). For more information, you can visit Stripe's security policy: https://paypal.com

For Marketing:
On occasion and on no particular schedule, Customers may receive, via email, details on general newsletter, special offers and marketing-related content, provided they have agreed to receive this type of communication.

5. Do you have a Data Processing Agreement (DPA)?
No

6. Disclosure of Data
We do not disclose our Customers' personal information with third parties, with the exception of the following reasons:
a. To provide any of our Services to our Customers
b. To co-operate with law enforcement agencies via legal processes such as current judicial proceedings, court orders and warrants that we determine in our sole discretion to be legitimate and compliable.
c. To safeguard the legitimate interests of Steadyio and/or our Customers
In some cases, we encrypt, anonymise and aggregate the information before sharing it. "[Anonymising] the information" means we strip the information of personally identifiable features. "[Aggregating] the information" means we present the information in groups or segments (i.e. countries or billing terms).
If you breach our Terms of Service, or if we are under a duty to disclose or share your personal data in order to comply with any legal obligation, we may disclose your information to a relevant authority. Disclosure may include, but is not limited to, exchanging information with other companies and organizations for the purposes of fraud protection and/or credit risk reduction. In particular, we may release the information collected to third parties when we believe that it is appropriate to comply with the law, to enforce our legal rights, to protect the rights and safety of others, or to assist with industry efforts to control fraud, spam or other undesirable conduct.
We may release the information collected to third parties, where the information is provided to enable such third party to provide services to Steadyio, provided that the third party has agreed to use at least the same level of privacy protections described in this Privacy Policy, and is permitted to use the information only for the purpose of providing services to Steadyio.

7. User Choice
Subject to applicable law, you have the choice to and right to limit, deny or restrict our ability to share your Personal Data with third parties or use of your Personal Data for a purpose that is materially different from the purpose for which it was originally collected or authorized by you. Please note, in the absence of any notice to the contrary, you expressly grant us permission to share your Personal Data at our discretion.

8. Integrity and Security of your Personal Data
We recognise that the general public are increasingly concerned about how companies protect personal information from misuse and abuse and about privacy in general. We are committed to protecting our Customers' personal information in a secure manner that complies with legal regulations, therefore we are constantly reviewing and enhancing our technical, physical and managerial procedures and rules to protect our Customers' personal data from unauthorised access, accidental loss and/or destruction.
We intend to protect and secure your Personal Data in accordance to the terms of this Privacy Policy and the Terms of Service. To this end, we have implemented administrative, physical and technical measures designed to protect your Personal Data from unauthorized access, disclosure or use.
For example, we use industry standard TLS certificates to provide encryption of data in transit and all access to our websites and management portals are served via the HTTPS protocol and sensitive information such as credit card information are encrypted before being transmitted using Secure Socket Layer (SSL) technology.
We also require for all of our business partners and vendors to provide the same or greater protections for any Personal Data that is disclosed by us in furtherance of our provision of Services to you.
Please be aware that communications over the internet (i.e. emails) are not secure unless they have been encrypted. Your communications may route through a number of countries before being delivered - this is the nature of the World Wide Web (WWW). We cannot accept responsibility for any unauthorised access or loss of personal information that is beyond our control.

9. Access to your Personal Data
You control access to Personal Data maintained or stored by you via our Client Area for account management. You may update your information at any time.
You may cancel your account at any time and may request that your personal information is deleted from our databases, with the exception of:
a. Cases where a violation of our Terms of Service has resulted in cancellation of your account, in which case personal information may be retained indefinitely for purposes of prevention of further use of our Services in the future by the offending individual
b. Cases where financially fraudulent or otherwise illegal activity is deemed to have occurred (as determined by our management or law enforcement officials), in which case personal information may be retained indefinitely for purposes of ongoing investigation and prevention of fraud recurrence
c. Network access logs, which may be stored for any duration of time at our sole discretion
Upon request, we will grant you reasonable access to Personal Data maintained by us about you. In addition, we will take reasonable steps to correct, amend or delete information that is demonstrated by you to be inaccurate, incomplete or processed in violation of applicable law. Unless required by law, we will not permit you to access the Personal Data of any Data Subject other than yourself.

10. Data Retention
To ensure our legal data protection and privacy obligations are met, we only retain your Personal Data for as long as we actually need it for the purposes we acquired it for in the first place.
In most cases, this means we will keep your Personal Data for as long as you continue to use our Services, and for a reasonable period of time afterwards if you stop doing so, to protect our legitimate business interests, where we can lawfully keep any data for audit or legal reasons, or as otherwise stated in this Privacy Policy.
We shall keep data on our prospect database for not longer than 3 years from receipt subject to an individual's right to unsubscribe or be forgotten at any time.
Please note that even if you request deletion or erasure of your personal data, we may retain your personal data to the extent necessary and for so long as necessary for our legitimate business interests or performance of contractual obligations.
After the retention period is over, we will securely dispose or anonymise your personal information in order to prevent loss, misuse, theft or unauthorised access.

11. International Transfers of Personal Data
Steadyio is a hosting company based and headquartered in San Antonio TEXAS. By utilizing any of our Services, you expressly consent to our access, maintenance, transmission and/or use of your Personal Data outside of your country of residence, regardless of location or jurisdiction.
In addition to our obligations under Texas law, we supplement the protection of the international transfer of your Personal Data by observing numerous industry best practices.

12. Communications
Steadyio communicates with our Customers on different occasions. These communications are classified as follow:
a. Fundamental - This refers to the communication between you and our staffs when you contact us for support assistance relating to your Services.
b. Service Announcements - In some cases, it is necessary for us to send out a strictly service-related announcement. This can range from server-side issues/maintenances, or billing related issues such as suspension due to non-payment, etc. These announcements are not promotional in nature and are in fact essential information relevant to your Services.
c. Newsletter and Special Promotions - On occasions and on no particular schedule, we may release newsletter and special promotions via email. These emails are considered to be marketing related.
In relation to (Section 12c), Customers whose registration date falls before 25th May 2018 would have received a Policy Update email informing that, unless they had previously opted out of marketing related emails, their continued usage of our Services constitutes their acceptance of continuing to opt in to marketing related emails. For new Customers who registers on or after 1st January 2019, marketing emails would have been set to opt-out by default during the registration process. In order for New Customers to receive marketing related content, they must choose to opt-in by updating their preferences during the registration process or afterwards from within our Client Area. At all times, all Customers have the right to opt out of marketing communications by clicking on the "Unsubscribe" or "Opt-out" link in the marketing emails sent to you, or by updating their preferences from within our Client Area.

13. Sensitive Information
We are not responsible for any sensitive information stored by you on our system and/or Services.

14. Children's Online Privacy Protection
Steadyio's Services are not designed for or directed to children under thirteen (13) years of age and we will not intentionally collect or maintain information about anyone under thirteen (13) years of age.

15. Customer's Responsibilities
You will bear sole responsibility for maintaining the integrity of your login information to any of our Services or our Client Area. This information consists of, but is not limited to, usernames and passwords that give access to personal and private information.
You will also bear sole responsibility for maintaining the security of all subscribed Services. You are solely responsible for ensuring compliance with any and all applicable privacy guidelines and regulations for all jurisdictions in which you may operate with respect to appropriate practices for the collection, dissemination and storage of personal information using your subscribed Services with us. Under no circumstances shall we be held liable for your failure to adopt and/or practice appropriate measures for safeguarding personal information stored within or transmitted through our Services.
Links to other websites may be found through our website or during correspondences with our staffs. It is your responsibility to be aware that we cannot control the privacy policies of third parties. We encourage our Customers to be aware when leaving our site and to read the privacy statements of each and every website that collects personally identifiable information. This privacy statement as indicated herein is applicable only to the data collected by Steadyio.

16. Dispute Resolution

We will attempt to resolve any such complaints in a reasonably timely manner and in accordance with this Privacy Policy.

18. How do we assess our compliance with the Privacy Policy?
We use a self-assessment approach to ensure compliance with this Privacy Policy and regularly verify that the Privacy Policy is accessible, accurate, displayed.

19. Business Transitions
In the rare event we go through a business transition, such as a merger, being acquired by another company, or selling a portion of our assets, Customers' personal information will, in most instances, be part of the assets transferred.

Service Level Agreement (SLA)

General
Steadyio guarantees all of our services to have at least 99% uptime. In the event that we do not meet this in a given calendar month, we will credit a percentage of the affected service's monthly fees.
Exceptions
1) Any scheduled downtime or planned maintenance is except from this guarantee.
2) Clients currently in arrears for services do not qualify for SLA claims.
3) Clients participating in malicious activities, thereby causing attacks or counterattacks, do not qualify for SLA claims.
4) Downtime occuring due to natural disasters or DDoS attacks against the network do not count towards the SLA calculations.
Cookies Policy

A cookie can be generally defined as a piece of data which is stored on a client's electronic device (i.e. computer, phone, tablet, etc) which can identify information about that specific client.
Steadyio makes use of both session identifier cookies and persistent cookies. Session identifier cookies are cookies that expire when you close your browser and do not remain on your computer. Persistent cookies are cookies which are stored long term on your computer for a period specific in the code.

The purpose of using these cookies (whether session identifier cookies or persistent cookies) is meant to streamline our interaction with you in order to provide a better user experience.
By using Steadyio's services, you are agreeing to the overall acceptance of our Privacy Policy and therefore Steadyio's use of cookies.

Below are some examples of the cookies generated by Steadyio, their type, as well as the purpose each of them serves. Please take note that the following list may not be exhaustive:

a. PHPSESSID - This is the most common cookie that most PHP based websites will use. It is used to store the unique session ID for each visitor and enables variables to be remembered and passed between page loads. This is mainly used for keeping track of user input and progression through the shopping cart. Since this is a session only cookie, it will expire as soon as the browser is closed.

b. UID/PW - These two cookies are used for the "Remember Me" functionality of our client area. They are only generated if you check the "Remember Me" option when logging into our Client Area. The purpose of this cookie is to ensure that your login is remembered and you do not have to re-login every time you visit our website. These two cookies are persistent and will last for 365 days, unless you logout of our Client Area.

c. AffiliateID - No Affiliate is offered

At any time if you would prefer to remove these persistent cookies, you are free to review your browser's documentations to gather the instructions necessary to remove any persistent cookies related to Steadyio.
